These Website Terms and Conditions (“Terms”) govern your access to and use of luminafutures.com, and any other domain or subdomain we operate that links to these Terms (the “Site”), operated by Amanda Bielawski Consulting LLC, a Washington limited liability company, doing business as Lumina Futures (“Company,” “we,” “us”). Please read these Terms before using the Site.
1. ACCEPTANCE OF TERMS
1.1 These Terms apply to your use of the Site. When you submit a contact inquiry, subscribe to our newsletter, or book a call through the Site, we will show you a statement, next to the button you use, that doing so means you agree to these Terms and to our Privacy Policy; your submission confirms that agreement. If you do not agree to these Terms, please do not submit information through the Site.
2. THE SITE IS INFORMATIONAL — NOT AN ENGAGEMENT
2.1 The Site describes Company's advisory, consulting, and fractional-executive services for general informational purposes. Nothing on the Site constitutes an offer to contract, and browsing the Site, submitting an inquiry, or scheduling a discovery call does not create a consulting, advisory, fiduciary, or attorney-client-style relationship of any kind.
2.2 An actual engagement exists only once both parties sign a Master Consulting Services Agreement and an accompanying Statement of Work or Retainer Agreement. Those signed documents — not this Site — govern the scope, fees, deliverables, confidentiality, and liability terms of any engagement.
3. NO PROFESSIONAL ADVICE
3.1 Articles, frameworks, case studies, and other content on the Site reflect general knowledge and experience in strategy, fundraising, governance, and sustainability. It is provided for general informational purposes only, is not a substitute for individualized professional advice tailored to your organization's facts and circumstances, and should not be relied upon as legal, tax, financial, or investment advice. Always seek qualified, engagement-specific advice — including from Company under a signed agreement — before acting on anything described on the Site.
4. INTELLECTUAL PROPERTY
4.1 All text, graphics, logos, frameworks, and other content on the Site (“Content”) is owned by Company or its licensors and is protected by copyright, trademark, and other intellectual property laws, except where otherwise noted.
4.2 You may view, download, and print Content for your own personal or internal business reference. You may not reproduce, republish, distribute, or create derivative works from the Content for commercial purposes, or remove any copyright or attribution notice, without Company's prior written permission.
4.3 “Lumina Futures” and any associated logos are trademarks or service marks of Company. Other names, logos, and marks appearing on the Site belong to their respective owners. Where we display a client’s or a credentialing organization’s mark, we do so either with that owner’s permission or to identify that organization accurately, as nominative fair use permits.
5. TESTIMONIALS AND CASE STUDIES
5.1 Testimonials, quotes, and case studies on the Site reflect the individual experiences and opinions of the people and organizations quoted, and are published with their written permission. Where a person quoted is an officer, employee, agent, or immediate family member of Company, or received anything of value in exchange for the testimonial, that connection is disclosed together with the testimonial.
5.2 Company does not publish a testimonial that states or implies a quantified result unless Company holds substantiation that the result is representative of what clients generally achieve, or discloses, together with the testimonial, the result that clients generally achieve.
6. THIRD-PARTY LINKS
6.1 The Site may link to third-party websites (for example, LinkedIn, publications, or partner organizations) for convenience. Company does not control and is not responsible for the content, accuracy, or privacy practices of any linked site, and linking does not imply endorsement.
7. ACCEPTABLE USE
7.1 You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to the Site or its underlying systems; scrape, harvest, or data-mine Content without permission; introduce viruses or other harmful code; or interfere with the Site's normal operation.
7.2 Company may restrict or block access to the Site, in whole or in part, at any time and without notice, including as to any person who violates Section 7.1.
8. ACCESSIBILITY
8.1 Company wants the Site to be usable by the widest possible audience and works in good faith toward the Web Content Accessibility Guidelines (WCAG) 2.2, Level AA. The Site has not been independently audited, and Company does not represent that it currently conforms to that standard in every respect. If you have difficulty accessing any part of the Site, please contact us at info@luminafutures.com and we will work with you to provide the information or service you need in another way.
9. DISCLAIMER OF WARRANTIES
9.1 The Site and its Content are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Company does not warrant that the Site will be uninterrupted, error-free, or completely secure, or that Content is accurate, complete, or current.
10. LIMITATION OF LIABILITY
10.1 To the fullest extent permitted by law, Company and its owners, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of, or inability to use, the Site — even if advised of the possibility of such damages.
10.2 To the fullest extent permitted by law, Company’s total liability for any claim arising from your use of the Site will not exceed one hundred United States dollars (US $100). Nothing in Sections 9, 10, or 11 limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for fraud, intentional misconduct, gross negligence, or personal injury, or any claim under the Washington Consumer Protection Act, chapter 19.86 RCW. This Section does not apply to, and does not limit, liability arising under a separately signed Master Consulting Services Agreement, Statement of Work, or Retainer Agreement, each of which contains its own liability terms.
11. INDEMNIFICATION
11.1 If you use the Site unlawfully, or in violation of Section 7, you agree to indemnify and hold Company harmless from any third-party claim, loss, or expense (including reasonable attorneys’ fees) arising from that use. This Section does not apply to ordinary use of the Site for the informational purposes for which it is provided.
12. PRIVACY
12.1 Our collection and use of information through the Site is described in our Privacy Policy, available at www.luminafutures.com/privacy-policy, which is incorporated into these Terms by reference.
13. GOVERNING LAW AND DISPUTES
13.1 These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.
13.2 Before either party files suit arising out of or relating to these Terms or the Site, the parties will first attempt in good faith to resolve the dispute through direct negotiation for thirty (30) days and then, if it remains unresolved, through non-binding mediation in Thurston County, Washington, before a mediator the parties jointly select, with the mediator’s fees shared equally. If the dispute is not resolved within sixty (60) days after a written request for mediation, either party may file suit.
13.3 The state and federal courts located in Thurston County, Washington have exclusive jurisdiction and venue over any suit arising out of or relating to these Terms or the Site, and each party consents to personal jurisdiction there. Nothing in this Section prevents either party from seeking injunctive relief at any time to protect its intellectual property or confidential information.
13.4 To the extent permitted by applicable law, any claim arising out of or relating to these Terms or the Site must be brought within one (1) year after the claim arises, or it is permanently barred.
14. CHANGES TO THESE TERMS
14.1 Company may update these Terms from time to time. The “Last Updated” date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
15. SEVERABILITY AND ENTIRE AGREEMENT
15.1 If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Company regarding use of the Site.
